Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vault AI ("Vault AI," the "Service"), owned and operated by Determined Enterprise Group, founded by Larry Ford ("Company," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Vault AI is a software-as-a-service (SaaS) platform providing access to AI-powered tools, including but not limited to AI chat, website generation, graphic design, music studio assistance, and voice synthesis. The Service relies on third-party providers (including Anthropic, ElevenLabs, Tavily, Stripe, and Supabase) and may evolve over time. We may add, modify, or discontinue features at any time without prior notice.

• You must be at least 13 years old (and of legal age in your jurisdiction) to create an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You agree to provide accurate, current, and complete information and to keep it updated.
• You must promptly notify us of any unauthorized use of your account.

Vault AI offers paid subscription plans (Vault Basic, Vault Pro, and Vault Elite). Pricing is displayed on the Service and may change at any time with notice for future billing cycles.

• Auto-renewal: Subscriptions automatically renew at the end of each billing period (monthly) at the then-current rate, unless cancelled before the renewal date.
• Cancellation: You may cancel your subscription at any time through your account billing portal. Cancellation takes effect at the end of the current billing period; you retain access until then.
• Refunds: Except where required by law, all payments are non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or downgrades.
• Payment processing: Payments are processed by Stripe, Inc. By subscribing, you agree to Stripe's terms of service.
• Failed payments: If we cannot process payment, we may suspend or terminate your access.

Vault Pro is offered with a 7-day free trial for eligible new subscribers. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription at the standard monthly rate, and your payment method on file will be charged. Free trial eligibility is limited to one per user. We reserve the right to modify or terminate the trial offer at any time.

You agree NOT to use the Service to:

• Violate any applicable law, regulation, or third-party right.
• Generate, distribute, or store unlawful, harmful, harassing, defamatory, fraudulent, hateful, sexually explicit content involving minors, or content that promotes violence or self-harm.
• Impersonate any person or misrepresent your affiliation.
• Reverse-engineer, decompile, or attempt to extract source code or model weights.
• Use the Service to develop a competing product, scrape content, or train other AI models.
• Transmit malware, viruses, or other malicious code.
• Interfere with or disrupt the Service, servers, or networks.
• Attempt to gain unauthorized access to any account, system, or data.
• Use the Service for spam, phishing, or unauthorized commercial communications.

We reserve the right to investigate violations and suspend or terminate accounts at our discretion.

The Service, including all software, designs, text, graphics, logos, and trademarks (excluding User Content and AI-generated outputs), is owned by Determined Enterprise Group and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose, subject to these Terms.

Your content: You retain ownership of content you submit ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display your User Content solely to operate and improve the Service.

AI outputs: Subject to your compliance with these Terms and applicable third-party model licenses, you may use AI-generated outputs for lawful purposes. We do not claim ownership of AI outputs generated for you, but we make no warranty of uniqueness or non-infringement.

Vault AI uses third-party large language models and other AI systems. AI-generated responses are produced by automated systems and may be inaccurate, incomplete, biased, or misleading. AI outputs are NOT professional legal, financial, medical, mental-health, tax, or other professional advice. Do not rely on Vault AI as a substitute for qualified professionals. You are solely responsible for evaluating, verifying, and acting on any AI-generated content.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

IN NO EVENT SHALL DETERMINED ENTERPRISE GROUP, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (b) USD $100.

You agree to defend, indemnify, and hold harmless Determined Enterprise Group, its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy; or (d) any User Content you submit.

We may suspend or terminate your account at any time, with or without cause, with or without notice, including for violations of these Terms. Upon termination, your right to access the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and governing law) shall survive.

You may terminate your account at any time through the billing portal or by contacting us.

We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.
